📜 Terms of Service Agreement for Starr Enterprise Holdings Inc.

1. Acceptance of Terms

By accessing or using the services provided by Starr Enterprise Holdings Inc. ("Starr Enterprise," "Consultant," "we," or "us"), including our website, business consultations, and strategic planning programs (collectively, the "Services"), you ("Client" or "you") agree to be bound by these Terms of Service ("TOS"). If you do not agree to these TOS, you may not use the Services.

2. Description of Services

Starr Enterprise provides business consulting and management services, including Small Business Consultations, Business Management Services, and Comprehensive Marketing Strategy Programs, as detailed in separate, executed Service Agreements (such as the Marketing Strategy Program Service Agreement). These TOS govern the general relationship; specific scope, fees, and timelines are detailed in the individual Service Agreements.

3. Client Obligations

The Client agrees to:

  • Provide accurate, complete, and current information as requested.
  • Cooperate fully and timely with the Consultant, including providing necessary data, access to personnel, and feedback.
  • Pay all agreed-upon fees according to the payment schedule outlined in the executed Service Agreement.

    All fees for Services are clearly stated in the respective Service Agreement or Proposal. Payment is due according to the terms specified therein. Failure to make payments when due may result in the suspension or termination of Services.

    5. Confidentiality

    Both the Consultant and the Client agree to treat all non-public information received from the other party as Confidential Information. This includes Starr Enterprise's proprietary methodologies and the Client’s financial, marketing, and customer data. Confidential Information will not be disclosed to any third party without prior written consent, except as required by law.

    6. Intellectual Property

    a. Consultant IP: Starr Enterprise retains ownership of all underlying general methodologies, proprietary frameworks, tools, and expertise utilized to create the deliverables.

    b. Deliverable Ownership (Default): The Client is granted a limited, non-exclusive license to use the final deliverables (e.g., the Comprehensive Marketing Strategy Plan) solely for their internal business operations during and after the Service Term. Under this standard agreement, Starr Enterprise retains full ownership of the copyright and intellectual property rights associated with the specific content of the deliverables, and all materials will bear appropriate Starr Enterprise branding and copyright notices.

    c. Strategic Licensing Fee for Full Ownership: The Client may obtain full, exclusive ownership of the copyright and intellectual property rights to the final deliverables by paying a one-time, non-refundable Strategic Licensing Fee of Three Thousand Five Hundred Dollars ($3,500.00). Upon receipt of this full payment: * All Starr Enterprise branding and copyright notices will be removed or transferred. * The Client will own the deliverables free and clear of any future claim by Starr Enterprise, granting the Client the right to modify, reproduce, and use the deliverables without limitation.

    7. Limitation of Liability

    Starr Enterprise acts as a consultant and advisor. While we strive to provide high-quality strategies, we do not guarantee specific outcomes, revenue targets, or results, as success depends on market factors and the Client's implementation efforts, which are outside our control. Starr Enterprise's total liability to the Client for any claim arising from these Services shall not exceed the total fees paid by the Client to Starr Enterprise under the relevant Service Agreement.

    8. Termination

    Either party may terminate a specific Service Agreement as outlined within that agreement. These TOS will remain in effect for any outstanding services or obligations.

    9. Governing Law

    These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Georgia.
